These Terms of Use govern your access to and use of Events Monitor (the “Service”), including the website, event feeds, and alert subscriptions. By using the Service, you agree to these terms. If you do not agree, do not use the Service.
1. Nature of the Service
The Service aggregates, filters, and summarizes publicly available information — primarily filings from the U.S. Securities and Exchange Commission’s EDGAR system and federal court records. Summaries and classifications are produced in part by automated systems, including machine-learning models, and are provided for general informational purposes only.
2. No Investment Advice
Nothing on the Service constitutes investment, legal, accounting, or tax advice, or a recommendation, offer, or solicitation to buy or sell any security or to pursue any investment strategy. Content is not tailored to any person’s circumstances. You are solely responsible for your own investment decisions, and you should consult your own advisers before acting on any information from the Service.
3. Accuracy and Availability
Automated aggregation and summarization can produce errors, misclassifications, omissions, and delays. The Service may miss events entirely. We make no representation or warranty as to the accuracy, completeness, or timeliness of any content, and we do not guarantee that the Service or any alert delivery channel will be available or uninterrupted. Always verify information against the underlying source filings, which are linked where available.
4. Acceptable Use
- Do not use the Service in violation of applicable law or regulation.
- Do not attempt to disrupt, overload, probe, or gain unauthorized access to the Service or its infrastructure.
- Do not scrape, resell, or redistribute the Service’s content at scale without prior written permission.
- Provide only webhook endpoints that you are authorized to use when configuring alert delivery.
5. Subscriptions
Alert subscriptions are provided free of charge and may be modified, suspended, or discontinued at any time. We may decline or deactivate any subscription at our discretion, including where delivery fails repeatedly or where use appears inconsistent with these terms.
6. Intellectual Property
Underlying filings are public records. The Service’s presentation, curation, summaries, and software are owned by the operator of Events Monitor. You may use the content for personal or internal business purposes with attribution.
7. Third-Party Sources and Links
The Service links to third-party websites, including SEC.gov and CourtListener. We are not responsible for the content or availability of third-party sites.
8. Limitation of Liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied. In no event will the operator of Events Monitor be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Service — including decisions made in reliance on its content.
9. Changes
We may update these terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
